The SEC, in the final ruling regarding standards relating to Audit Committees, requires that Amplitude provide a facility for the receipt, retention and treatment of complaints received regarding accounting, internal accounting controls or auditing matters. In addition, pursuant to Amplitude’s Policies and Procedures for Complaints, Amplitude provides a facility for the receipt, retention and treatment of complaints received regarding other matters, including but not limited to:

● Corporate fraud;

● Conduct that may result in a violation of applicable laws, rules or regulations by the Company, or in a substantial mismanagement of Company resources;

● Unethical or illegal business conduct, or a violation or possible violation of Amplitude’s Code of Business Conduct and Ethics (the “Code of Conduct”), Amplitude’s Global Anti-Bribery and Anti-Corruption Policy (the “Anti-Corruption Policy”), Amplitude’s Insider Trading Compliance Policy or Amplitude’s other policies;

● A violation or possible violation of the rules or regulations of the principal market or transaction reporting system on which Amplitude’s securities are traded or quoted (currently, the Nasdaq Global Select Market);

● Substantial and specific danger to the health and safety of your colleagues or the public; and

● Any other matter that you believe may adversely affect Amplitude or your colleagues.
