The Securities and Exchange Commission, in the final ruling regarding standards relating to Audit Committees, requires that  Veritone provide a facility for the receipt, retention and treatment of complaints received regarding accounting, internal accounting controls or auditing matters (collectively, "Accounting Matters"), and for the confidential, anonymous submission by employees of concerns about questionable Accounting Matters.

Please note that Veritone's General Counsel will assist the Audit Committee in reviewing and investigating concerns and complaints regarding Accounting Matters and, accordingly, will also have access to messages submitted through this interface. All concerns and complaints will be treated confidentially by the Audit Committee and General Counsel.

Understanding and acting upon any issues that exist regarding Accounting Matters is an essential component to Veritone's ability to take action and ensure the highest levels of financial fidelity.
