NGM Biopharmaceuticals, Inc. (the “Company”) is committed to maintaining the highest standards of business conduct and ethics. The Company’s Code of Business Conduct and Ethics (the “Code”) reflects the business practices and principles of behavior that support this commitment. Additionally, the Company is committed to building an environment where personnel feel comfortable having open, honest communications about business conduct and ethics and about any accounting, internal accounting controls or auditing concerns.

The Company wants you to feel comfortable in approaching your supervisor or the Company’s Compliance Officer at compliance@ngmbio.com to seek guidance on, or report possible violations of, the Code or complaints regarding accounting, internal accounting controls or auditing matters. In situations where you prefer to seek guidance, or report possible violations, of the Code or such financial matters anonymously, you are encouraged to use the Secure Web Form or Secure Hotline, which are available to you 24 hours a day, seven days a week. To ensure confidentiality of your identity, all Secure Webform messages will be encrypted, and all Secure Hotline messages will be electronically altered/disguised.

All questions or reports will be delivered to the Company’s Compliance Officer. This platform is also used by the Company’s Audit Committee as a facility for the receipt, retention and treatment of complaints received regarding accounting, internal accounting controls or auditing matters. Any complaints or reports regarding accounting, internal accounting controls or auditing matters will also be promptly delivered to the Chair of the Audit Committee and any review or investigation will be conducted under the direction and oversight of the Audit Committee.

After leaving a message, you will receive a 14- to 16-digit confirmation number that can be used to access the status of, and follow up on, the message. The Company may also use this confirmation number to anonymously ask for additional information needed to appropriately address your question or report of a possible violation of the Code or address an accounting, internal accounting controls or auditing concern.
